Northisle Closes Private Placement

Northisle Copper and Gold Inc. (TSX-V: NCX) ("Northisle" or the "Company") is pleased to announce the closing of a $172,500 private placement (the "Placement") with Mr. Alex Davidson for the purchase of 250,000 common shares (the "Shares") at a price of $0.69 per Share. The Shares issued pursuant to the Placement will be subject to a statutory hold period in accordance with applicable Canadian securities laws until August 16, 2025.

The Placement involves the issuance of 250,000 Shares (for a subscription amount of $172,500) to a related party (as such term is defined under Multilateral Instrument 61-101 -Protection of Minority Security Holders in Special Transactions ("MI 61-101")) and therefore constitutes a related party transaction under MI 61-101. This transaction is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 pursuant to sections 5.5(a) and 5.7(a) of MI 61-101, as the fair market value of the Shares distributed, and the consideration received from related parties under the Placement does not exceed 25% of the Company's market capitalization.
