Roxgold Announces Voting Results of Annual and Special Meeting

TORONTO, June 11, 2015 /CNW/ - Roxgold Inc. (ROG: TSX.V) ("Roxgold" or the "Company") is pleased to announce the voting results of its Annual and Special Meeting held on June 11, 2015 in Toronto. Shareholders voted to re-elect the Company's eight member Board of Directors ("The Board") with 73.81% of shares outstanding represented at the meeting.
A summary of voting results relating to the re-election of the Company's Board can be found below.

In addition, Roxgold shareholders also voted in favour of ratifying and approving:
- PricewaterhouseCoopers LLP as the Company's auditors with 212,324,777 (99.96%) total votes cast "For" and 80,148 (0.04%) total votes "Withheld"; and
- Renewing the Company's rolling stock option plan (the "Option Plan") whereby the Company is authorized to grant stock options of up to 10% of its issued and outstanding shares, from time to time with 174,923,669 (92.40%) total votes cast "For" and 14,382,971 (7.60%) total votes "Against".
