Roxgold Announces Voting Results of Annual and Special Meeting

TORONTO, May 29, 2014 /CNW/ - Roxgold Inc. (ROG: TSX.V) ("Roxgold" or the "Company") is pleased to announce the voting results of its Annual and Special Meeting held on May 27, 2014 in Toronto. Shareholders voted to re-elect the Company's eight member Board of Directors ("The Board") as well as to approve its Shareholder Rights Plan ("the Rights Plan") with 69.60% of shares outstanding represented at the meeting.
A summary of voting results relating to the re-election of the Company's Board can be found below.

- PricewaterhouseCoopers LLP as the Company's auditors with 163,782,291 (99.99%) total votes cast "For" and 15,000 (0.01%) total votes "Withheld"
- Renewing the Company's rolling stock option plan (the "Option Plan") whereby the Company is authorized to grant stock options of up to 10% of its issued and outstanding shares, from time to time with 137,300,075 (87.49%) total votes cast "For" and 19,634,946 (12.51%) total votes "Against";
- Amendments to the Company's deferred share unit plan with 156,137,602 (99.70%) total votes cast "For" and 469,989 total votes "Against";
- Amendments to the Company's restricted share unit plan with 155,362,285 (99.20%) total votes cast "For" and 1,245,306 (0.8%) total votes "Against"; and
- The Shareholder Rights Plan with 146,842,636 (93.57%) total votes cast "For" and 10,092,385 (6.43%) total votes "Against";
